Please read these Terms of Service (“Terms”, “Terms of Service”) carefully before using the Ipforward AI API management service (the “Service”) operated by Ipforward (“us”, “we”, or “our”).

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service. By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service.

I. Service Description

Ipforward provides an AI API management gateway service that enables unified access to multiple AI model providers including OpenAI, Anthropic, Midjourney, and others. Our service includes API routing, usage monitoring, cost optimization, and analytics. The service is provided on an “as is” and “as available” basis. We strive to maintain high availability but do not warrant that the service will be uninterrupted, secure, or error-free at all times.

II. Account Registration and Security

To use our Service, you must create an account and provide accurate, complete, and current information. You are responsible for:

  • Maintaining the confidentiality of your account credentials and API keys.
  • All activities that occur under your account.
  • Ensuring your API keys from third-party providers are valid and properly configured.
  • Notifying us immediately of any unauthorized access or security breaches.

III. Acceptable Use Policy

You agree to use the Service in compliance with all applicable laws and regulations. Prohibited activities include, but are not limited to:

  • Using the service for any illegal or unauthorized purpose.
  • Violating the terms of service of underlying AI providers (OpenAI, Anthropic, etc.).
  • Generating harmful, abusive, or malicious content through AI models.
  • Attempting to reverse engineer, decompile, or extract proprietary algorithms.
  • Sharing account credentials or API keys with unauthorized third parties.
  • Attempting to gain unauthorized access to our systems or other users' accounts.
  • Using the service to transmit malware, viruses, or any malicious code.
  • Engaging in activities that could disrupt or interfere with the service.

We reserve the right to monitor usage for compliance and may suspend or terminate accounts that violate these terms.

IV. API Usage and Limits

Your use of the Service is subject to usage limits based on your subscription plan:

  • API call quotas and rate limits as specified in your plan.
  • Data transfer limits and storage restrictions.
  • Concurrent connection limits.

Exceeding these limits may result in service throttling, temporary suspension, or additional charges. We will provide reasonable notice before implementing usage-based billing changes.

V. Third-Party AI Providers

Our Service facilitates access to third-party AI providers. You acknowledge that:

  • You are responsible for compliance with each AI provider's terms of service.
  • We are not liable for the availability, performance, or content generated by third-party AI services.
  • Costs from third-party providers are separate from our service fees.
  • We may suspend service if your usage violates third-party provider policies.

VI. Subscription and Payments

The Service is available under subscription plans with different features and usage limits. By subscribing, you agree to:

  • Pay all fees specified for your chosen plan on a recurring basis.
  • Automatic renewal of your subscription unless cancelled.
  • Responsibility for any applicable taxes.
  • Our refund policy: refunds are available within 14 days of initial subscription only.

Payments are processed through secure third-party services like Stripe. All fees are non-refundable except as explicitly stated in our refund policy or as required by law.

VII. Data Protection and Privacy

We are committed to protecting your data and privacy. Please review our Privacy Policy for detailed information about how we collect, use, and protect your information. By using the Service, you consent to our data practices as described in our Privacy Policy.

VIII. Intellectual Property

The Service, including all software, algorithms, and proprietary technology, is owned by Ipforward and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service subject to these Terms.

IX. Service Availability and Support

We strive to maintain high service availability but do not guarantee 100% uptime. Planned maintenance will be communicated in advance when possible. Support is provided according to your subscription plan level, ranging from email support to dedicated customer success management.

X. Termination

We may terminate or suspend your account immediately, without prior notice, for violation of these Terms or for other reasons including:

  • Non-payment of subscription fees.
  • Violation of acceptable use policies.
  • Suspected fraudulent or abusive behavior.
  • Extended periods of inactivity.

Upon termination, your access will cease immediately. You may export your data within 30 days of termination.

XI. Disclaimers and Limitation of Liability

The Service is provided “as is” without warranties of any kind. We disclaim all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

In no event shall Ipforward be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Service, even if we have been advised of the possibility of such damages.

XII. Indemnification

You agree to indemnify and hold harmless Ipforward from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

XIII. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable local laws. Any disputes arising from these Terms or your use of the Service will be resolved through binding arbitration, except for claims that may be brought in small claims court.

XIV. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or dashboard notification at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance of the new Terms.
